CUSTOM DESIGN SERVICE TERMS

These Custom Design Service Terms are between Platte Productions, LLC, the company that owns and operates Grizaye Art, referred to throughout these terms as “Grizaye,” “we,” “us,” or “our,” and the person or organization purchasing the service, referred to as the “Client,” “you,” or “your.”

By purchasing this service, you confirm that you have the authority to accept these terms personally or on behalf of the organization identified in the purchase. Your purchase and electronic acceptance constitute your agreement to these terms.

DIGITAL DESIGN SERVICE

The design fee covers digital design services only. Printing, physical kits, shipping, editable source files, copyright transfer, and exclusivity are not included unless stated in a separate written agreement.

PAYMENT AND CANCELLATION

Payment in full is required before work begins. Design fees become nonrefundable once work has started because they compensate Grizaye for creative time and services already reserved or completed.

PROJECT TIMING

Any estimated timeline begins after Grizaye receives payment and all materials, information, and approvals required from the Client. Client delays, revision requests, changes in scope, supplier delays, and events beyond Grizaye’s reasonable control may extend the completion date.

REVISIONS

Two revision rounds are included. Each round should contain one complete list of requested changes. Additional revisions, new concepts, custom wording, or substantial changes may require an additional fee, which will be quoted before the work continues.

INACTIVE PROJECTS

If the Client does not respond or provide requested materials for 30 days, Grizaye may place the project on inactive status. Resuming an inactive project will be subject to Grizaye’s current availability and may require an additional scheduling or revision fee.

CLIENT PROVIDED MATERIALS

The Client is responsible for providing logos, photographs, wording, and other requested content in suitable formats. The Client confirms that they own or have permission to use all submitted materials.

The Client retains ownership of submitted materials and grants Grizaye a nonexclusive license to use them only as needed to design, produce, print, promote with permission, and fulfill the approved kits and future reorders.

The Client accepts responsibility for claims arising from materials they provide, including claims involving copyright, trademark, privacy, publicity, or other ownership rights, and agrees to indemnify and hold Grizaye harmless from such claims to the extent permitted by law.

GRIZAYE ARTWORK AND DESIGN

Grizaye retains all copyrights and ownership rights in original artwork, line art, painted samples, layouts, templates, product designs, working files, and other original materials created by Grizaye.

After final payment and design approval, the Client receives a nonexclusive license to use the approved final promotional files to advertise and sell the custom kits produced by Grizaye. This license does not permit the Client to reproduce the artwork independently, apply it to other products, sell or distribute the digital files, or provide the designs to another printer or manufacturer.

PRODUCTION, PRICING, AND REORDERS

Finished kits must be printed and produced through Grizaye and are purchased separately at custom wholesale pricing. Physical kits are subject to current pricing, minimum quantities, production schedules, material availability, shipping charges, and applicable taxes.

Approved kits may be reordered without another design fee. New artwork, substantial redesigns, packaging changes, or other services outside the approved design may require an additional fee.

MATERIAL AND COLOR VARIATIONS

Digital proofs and screen colors are approximations. Printed colors, paper, paint, packaging, and other materials may vary slightly from digital proofs or samples. If a specified material becomes unavailable, Grizaye may propose a comparable substitute for the Client’s approval.

CLIENT APPROVAL

The Client is responsible for reviewing all proofs, wording, spelling, logos, colors, quantities, and design details before approval. Production begins only after final approval. Changes requested after approval may result in additional charges, production delays, or both.

MARKETING PERMISSION

Grizaye will not sell or independently monetize products displaying the Client’s logo or submitted materials. Grizaye may display images of the completed project in its portfolio, website, social media, or promotional materials only with the Client’s permission.

NO TRANSFER OR EXCLUSIVITY

Copyright ownership, exclusive rights, editable source files, and the right to manufacture through another company are not included. Any requested copyright transfer, exclusivity agreement, or expanded usage license must be negotiated separately in writing.

NO BUSINESS RESULTS GUARANTEE

Grizaye does not guarantee sales, profits, customer response, or other commercial results from the custom design or finished kits.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Grizaye will not be liable for indirect, incidental, special, or consequential damages, including lost profits or lost business opportunities. Grizaye’s total liability arising from the design service will not exceed the amount the Client paid for that service.

GOVERNING LAW

These terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any dispute will be brought in a court of competent jurisdiction in North Carolina.

ENTIRE AGREEMENT

These terms, the applicable product description, and any approved written quote or proposal form the complete agreement for the service. Any change to these terms must be agreed to in writing by both Grizaye and the Client. If any provision is found unenforceable, the remaining provisions will continue in effect.
